Special Projects
Since launching in 2016, Go and Umali has provided substantial legal and regulatory advisory services on large-scale financial transactions involving the consolidation and acquisition of corporate entities, including management acquisition and purchase of assets. In these instances, the Firm provided legal support through the conduct of due diligence (whether limited or extensive), corporate structuring and financing, preparation and review of contracts and corporate documents, risk assessment, and representation before appropriate government offices to ensure compliance with regulatory requirements (such as the Commission on Audit and Philippine Competition Commission, should their approval be necessary).
Owing to the Partners’ considerable experience in government transactions, the Firm has supported corporate entities in their preparation and submission of joint venture in both the private and public sector, and has gained significant experience in Public-Private Partnership Projects.
Prepared, reviewed, and submitted a Joint Venture proposal for the development, construction, operation and maintenance of new transport systems within the National Capital Region and emerging regional areas, for a Joint Venture company engaged in the same line of business
Advised and assisted clients and business conglomerates in the preparation, review and submission of Joint Venture proposals involving integrated waste management projects in key regions of the Philippines, a cyberpark and business district project in the Province of Bulacan, and the construction and development of a reclamation area within the Province of Bataan
Acted as consortium counsel of the proposed Joint Venture Company composed of leading software integrators and development companies that participated in bidding for the implementation of the National ID System, specifically providing advice on the JVC’s corporate structure, existing regulatory framework and the applicable data privacy rules and regulations, among others
Acted as transaction adviser on behalf of local government units in reviewing and negotiating Joint Venture proposals submitted by water utility companies and ensuring compliance with the regulatory requirements of the Philippine Competition Commission
Rendered advice related to the acquisition of an emerging telecommunication company of a provincial cable entity with emphasis on the legal and regulatory framework, as well as risk assessment and mitigation measures
Assisted existing shareholders of a corporation operating a local extreme adventure park in the sale of their shares, as well as assignment of its development agreement with a regulatory authority
Advised and assisted a property development company in the preparation, review and submission of its Joint Venture proposal involving a community development project in an emerging regional city
Conducted due diligence and advised a leading power electronics technology company in its acquisition of a local corporate entity
Advised and assisted a leading holding company in its due diligence in the prospective acquisition of entities engaged in the freight forwarding business
